The role 

As a Company Secretarial Assistant, you're passionate about the pivotal role that robust governance and compliance play within a commercial enterprise. You excel at supporting senior leaders with statutory and compliance projects, eager to contribute to the smooth operation of board and committee activities. 

You'll be a proactive contributor, keen to engage with stakeholders across the business and external partners, ensuring meticulous record-keeping and adherence to regulatory standards. You thrive on supporting corporate transactions and contributing to key annual events like the AGM and Annual Report production.

Key responsibilities 

  • Assist with preparing materials, providing advice, and taking minutes for our Board and its Committees.  

  • Maintain accurate statutory books, file documents with Companies House, and manage our corporate structure.  

  • Help with corporate transactions, including drafting resolutions and supporting materials.  

  • Work with external legal providers to ensure our international entities comply with local regulations.  

  • Play a key role in producing the Annual Report, preparing for the AGM, and making official announcements (RNS/FCA).  

  • Conduct checks to ensure adherence to corporate governance codes and manage our extensive policy set.  

  • Assist with queries from external and internal auditors.  

  • Monitor changes in governance and regulatory landscapes, helping to brief the team.  

  • Assist with collecting data for Group insurance renewals and act as a contact for related queries.  

  • Provide company secretarial support for various group projects, including reorganisations and M&A activities.  

  • Maintain lists for sensitive information, communicate closed periods, and manage our Gifts and Hospitality Register.  

  • Benchmark our governance practices and contribute to special projects like the Hardship Fund. 

About you  

  • Part- or fully-qualified with the Corporate Governance Institute (CGI), or actively working towards this qualification. 

  • Experience with corporate governance software/platforms would be beneficial (e.g., Diligent Boards, Diligent Entities).  

  • Understanding of maintaining statutory books and Companies House filings.  

  • Proven ability to draft formal corporate documents (e.g., board resolutions).  

  • Proven experience in a Company Secretarial, Governance, or Compliance role with a desire to progress within this field of expertise.
